Overview
These Terms of Business (“Terms”) set out the agreement between ATTC Education Ltd (“we”, “us”, or “our”) and the client (“you”, “your”) regarding the introduction of self-employed tutors (“Tutors”) for private or group tuition services.
1. Our Role (Agency Status for VAT Purposes)
1.1 We act solely as an introducing agent, connecting you with self-employed Tutors who provide tuition services directly to you.
1.2 We do not provide tuition services and we are not responsible for the delivery, content, or outcome of any tuition.
1.3 All Tutors are self-employed and contract with you directly for the provision of tuition. They are responsible for their own taxes, VAT obligations (if applicable), insurance, and liabilities.
1.4 In accordance with HMRC VAT rules for agencies, any VAT charged by ATTC (if applicable) relates only to our commission or agency fee, not the tuition fee itself.
1.5 You acknowledge that ATTC is not the supplier of tuition for VAT purposes, and that the Tutor is the sole provider of the educational service.
2. Bookings, Fees, and Payments
2.1 When you confirm a booking, you enter into two separate relationships:
- a contract with the Tutor for the tuition service; and
- a contract with ATTC for the agency introduction service.
2.2 A 50% deposit of the total agreed tuition fee must be paid at the time of booking.
This deposit is collected by ATTC on behalf of the Tutor.
2.3 The remaining balance must be paid in full and in advance of any tutoring
session(s), 31 days after the deposit is made.
2.4 ATTC may collect tuition fees as an agent for the Tutor, but such fees belong to the Tutor and are passed on to them.
2.5 ATTC’s agency commission (included within the total fee) is the only element on which VAT may be charged, if applicable.
2.6 No sessions will be confirmed or delivered until 50% of the agreed tuition fees has been received.
3. Cancellations and Refunds
3.1 Cancellations by the client must be made in writing at least 48 hours prior to the scheduled session.
3.2 Sessions cancelled with less than 48 hours’ notice may be charged in full by the Tutor.
3.3 Deposits are non-refundable unless a Tutor cannot be provided or ATTC cancels the booking.
3.4 Refunds relating to tuition fees are made on behalf of the Tutor, as ATTC is not the service provider.
4. Tutor Responsibilities
4.1 Tutors are responsible for delivering tutoring sessions with reasonable care and skill.
4.2 Tutors are solely responsible for the content, method, and outcome of tuition.
4.3 ATTC does not guarantee academic results and has no involvement in the delivery of tuition.
5. Client Responsibilities
5.1 You agree to provide a safe and appropriate environment for online tuition.
5.2 You will treat Tutors with respect and provide any necessary materials or access required for the sessions.
5.3 You acknowledge that your contract for tuition is with the Tutor, not ATTC.
6. Limitation of Liability
6.1 As an introducing agent, ATTC is not liable for any loss, damage, or injury
resulting from the actions or omissions of Tutors.
6.2 Our total liability in any matter arising under these Terms shall not exceed the agency commission paid to us.
6.3 ATTC is not responsible for the Tutor’s performance, conduct, or suitability beyond reasonable vetting procedures.
7. Data Protection (GDPR)
7.1 We comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
7.2 Personal data is processed only for the purpose of introducing Tutors and administering bookings.
7.3 We will never share your data with third parties without your consent, except as required by law.
7.4 You may request access, correction, or deletion of your personal data at any time.
8. Governing Law and Jurisdiction
8.1 These Terms are governed by the laws of England and Wales.
8.2 Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
9. Acceptance of Terms
9.1 By confirming a booking and making payment, you acknowledge and accept these Terms of Business and agree that ATTC acts solely as an introducing agent, not a provider of tuition services.
